AIRASIA BERHAD ("AIRASIA" OR "THE COMPANY") - Clarification on Article Appearing in StarBizWeek on 31 October 2015 |
We refer to an article entitled “Why Tony wanted to take AirAsia private” appearing on page 13 of StarBizWeek on Saturday, 31 October 2015 (the “Article”).
In accordance with Rule 9.10 of the Main Market Listing Requirements (“MMLR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”),
(a) After having made due enquiries with the major shareholders, the clarification of the Article is as follows:
“AirAsia founder Tan Sri Tony Fernandes began talks with bankers to take Asia’s No. 1 budget airline private…
As is normally expected with other investors, the major shareholders of the Company evaluate all strategic options with regards to its various investments from time to time and the major shareholders gets approached by several parties from time to time with various proposals including to explore the possibility of increasing their stake in the Company. However, the major shareholders have not reached any decision at this stage as there are many factors to carefully consider and this may or may not lead to any transaction.”
(b) After having made due enquiries with the Board of Directors on the above, the Board has not received any offers to take the Company private. The Company will make the appropriate announcement to Bursa Securities in a timely manner in accordance with the MMLR should there be any further official development on this matter otherwise.
(c) “AirAsia has also been in talks with lessors, including cash-rich Chinese companies, to sell a stake in its leasing subsidiary……”
The Management of AirAsia has over the years been receiving enquiries from aircraft leasing companies and investors from all over the world. These are parties who are interested in acquiring aircraft to expand their existing portfolio. And since the incorporation of our wholly-owned subsidiary, Asia Aviation Capital Limited (AACL), we have received approaches from investors who are keen on co-investing in AACL as an indirect means of owning the aircraft in our fleet. As part of our corporate disclosure policy we will also make the appropriate announcements to Bursa Securities as and when there are material developments or change in circumstances in AACL in accordance with the MMLR.
