AirAsia is pleased to announce that it had on 9 June 2015 acquired the entire paid-up share capital of  AirAsia Global Notes Limited (Company No.: LL11869), a private limited company with its registered office situated at Unit Level 13(A), Main Office Tower, Financial Park Labuan, Jalan Merdeka, 87000 Federal Territory of Labuan, Malaysia (“AAGNL”) from ZICO Secretarial Limited. AAGNL’s entire paid-up share capital, which is equivalent to one (1) ordinary share of United States Dollar One (USD1.00), was acquired for a cash consideration of United States Dollar One (USD1.00) only (“Acquisition”). The objective of the Acquisition is to turn AAGNL into a vehicle for future dealings in capital markets for AirAsia.

Information of AAGNL

AAGNL was incorporated on 14 April 2015, with an issued and paid-up share capital of United States Dollar One (USD1.00) only comprising one (1) ordinary share.

The Director of AAGNL presently is ZICO Secretarial Limited. Upon completion of the Acquisition, Cik Aireen Omar and En. Rozman Bin Omar will be appointed as the additional Directors in the Board of AAGNL.

The Acquisition is not expected to have any effect on the issued and paid-up share capital or substantial shareholders’ shareholdings of AirAsia and is not expected to have any immediate material effect on the net assets of the Company.

The Acquisition is not subject to the approval of the shareholders of the Company and/or any other relevant government authorities in Malaysia.

To the best of the knowledge of the Company, none of the Directors and/or major shareholders of the Company and/or persons connected to them has any interest, directly or indirectly to the Acquisition.
