The Board of Directors of AirAsia (“Directors”), wish to announce that the Company had on 24 August 2017 executed a Share Purchase Agreement (“SPA”) with CAE International Holding Ltd, (“CAE”) to sell AirAsia’s entire shareholding in AACE (or “JV Company”) comprising 82,780,000 ordinary shares which is equivalent to 50% of the issued and outstanding shares of AACE to CAE for a total consideration sum (“Purchase Consideration”) of USD100,000,000 (or MYR429,300,000 at the exchange rate of 4.293) (including earn out). Please refer to the attachment for further details. This announcement is dated 25 August 2017. |
