Reference is made to the Company’s announcements dated 25 April 2024, 26 July 2024, 4 September 2024, 20 September 2024, 14 October 2024, 24 October 2024, 4 November 2024, 24 January 2025 and 10 March 2025 ("Announcements") as well as the Company’s circular to shareholders dated 20 September 2024 ("Circular") in relation to the Proposals. Unless otherwise stated, the words and abbreviations used herein shall have the same meaning as the Circular.

On behalf of the Board, RHB Investment Bank wishes to announce that the High Court of Malaya has confirmed the Company’s issued share capital reduction and repayment under Section 116 of the Companies Act 2016 pursuant to the Proposed Distribution, and that the exact amount of the issued share capital of the Company to be reduced to facilitate the Proposed Distribution will depend on the application by the Company to the High Court of Malaya after the Entitlement Date based on the prevailing market price of AAX Shares.

For clarity, further to the aforementioned confirmation granted by the High Court of Malaya, the Proposals are still subject to the fulfilment and/or waiver (as the case may be) of certain conditions precedent of the SSPAs. The Entitlement Date will be determined and announced later by the Company after all the conditions precedent of the SSPAs have been fulfilled and/or waived (as the case may be).
