We refer to the Company’s announcements dated 23 October 2024 and 23 December 2024 in relation to the Proposed Regularisation Plan. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcements.

On behalf of the Board, RHB Investment Bank is pleased to announce that Bursa Securities has, vide its letter dated 7 March 2025, resolved to approve the Proposed Regularisation Plan comprising the Proposed Capital Reduction.

The approval granted by Bursa Securities for the Proposed Regularisation Plan is subject to the following conditions:

(i) Capital A and RHB Investment Bank must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Regularisation Plan;

(ii) Capital A and RHB Investment Bank to confirm all approvals of relevant authorities have been obtained for the implementation of the Proposed Regularisation Plan and furnish a copy of all approval letters from the relevant authorities;

(iii) Capital A and RHB Investment Bank to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the general meeting for the Proposed Regularisation Plan; and

(iv) Capital A and RHB Investment Bank to inform Bursa Securities upon the completion of the Proposed Regularisation Plan and furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval.
