The terms used herein shall have the same meaning as those defined in the announcements made on 17 February 2021, 22 March 2021 and 14 April 2021 unless otherwise stated.

We refer to the announcements dated 17 February 2021, 9 March 2021, 17 March 2021, 22 March 2021, 14 April 2021 and 7 May 2021 in relation to the Proposed LTIS and Proposed Acquisition.

On behalf of the Board, RHB Investment Bank wishes to announce that Bursa Securities had vide its letter dated 24 May 2021 approved the following:

(i)     listing of such number of additional new AAGB Shares representing up to 10% of the total number of issued shares of AAGB (excluding treasury shares, if any) to be issued pursuant to the Proposed LTIS; and

(ii)     85,864,583 Consideration Shares to be issued pursuant to the Proposed Acquisition,

subject to the following conditions:

(i)     AAGB and RHB Investment Bank must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals;

(ii)    AAGB is required to furnish Bursa Securities with a certified true copy of the resolutions passed by its shareholders at a general meeting for the Proposals;

(iii)   RHB Investment Bank is required to submit a confirmation to Bursa Securities of full compliance of the Proposed LTIS pursuant to paragraph 6.43(1) of the Listing Requirements and stating the effective date of implementation;

(iv)    AAGB is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the Proposed LTIS as at the end of each quarter together with a detailed computation of listing fees payable;

(v)     AAGB and RHB Investment Bank are required to inform Bursa Securities upon completion of the Proposals; and

(vi)     AAGB is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed.
